DutyDesk

DutyDesk Planner

Terms of service

What a subscription includes, and what stays your responsibility.

DutyDesk is a service that runs on our servers and answers your customers in your name. These terms set out what a plan includes, what we promise, and what remains yours to answer for — mostly that last part, because the bot speaks as your business.

Last updated: 2026-10-17 · AlphaMerge

What these terms cover

They cover the DutyDesk service — the dashboard, the workspaces in it and the channels connected to them — and this website. They are an agreement between AlphaMerge and the business that opens a workspace, and whoever accepts them on its behalf confirms they may bind it. Signing up, or using the service, means accepting them.

The privacy policy is part of these terms. It sets out what the service keeps with us, for how long, and who it goes to.

DutyDesk Desktop, the desktop application, is sold separately from the service: a yearly licence for two computers, paid by invoice. Paid plans no longer include a key for it. A key that a paid plan issued for it belongs to that subscription: it is no longer renewed, and it ends on its own expiry date, or sooner if the subscription ends first.

DutyDesk Planner is sold separately from the service as well, and the section about it below sets out what applies to it.

Your account and your workspace

Signing up
An email address and a password. The details you give us must be true, and the address one you read — it is where we write about your account and your bill.
Your team
A workspace has an owner, and may have admins, agents and viewers, up to the number of people your plan includes. The owner decides who is invited and answers for what is done in the workspace.
Keeping it safe
Keep your password to yourself, and switch on two-step sign-in if you can. If you think somebody else has got in, change the password and write to us.

The trial and the plans

Signing up opens a free seven-day trial of the Basic plan, with no card. On the eighth day the workspace is paused: the bot stops answering, and nothing is deleted. Choosing a paid plan brings it back exactly as it was.

The plans — Basic, Starter, Grow and DutyKeeper — differ in how many channels and people they cover, and in their monthly allowances of AI replies, transcribed minutes and campaign messages. The pricing page is the price list, in shekels, and it is part of these terms. Anything beyond the largest plan is agreed in writing, as Enterprise.

Payment, renewal and cancellation

While online payment is not open, plans are arranged with our team: you ask for one on the Plan & billing screen, and we put the workspace on it until the date agreed with you. Such a plan does not renew by itself. To carry on past that date, ask us to renew it; if it is not renewed, the workspace is paused, as below.

Once online payment opens, payment is taken by Stripe. Your card details go to Stripe and never pass through us.

A plan paid online is paid monthly in advance and renews automatically at the end of each month, on the same terms, until you cancel.

You can cancel at any time, under Plan & billing. Cancelling stops the next renewal, and the plan stays on until the end of the period already paid for. We do not refund part of a period, except where the law requires it.

If we change a price, we will tell you by email at least 30 days ahead, and the new price applies from your next renewal — never to a period you have already paid for.

Allowances and overage

Allowances are counted each month and start again the next month. Owners and admins get an email when 80% of one has been used.

While online payment is not open, there is no overage: when a plan’s AI replies are used up, the AI stops until the next month, and your rules go on answering.

Once online payment opens, on plans that include AI replies the AI keeps answering past the allowance. The overage goes on your next invoice in blocks of 1,000 replies at your plan’s rate, and a block that has begun counts in full. The overage in a month never goes past a ceiling the plan sets — twice its monthly price, or three times on DutyKeeper — and at that ceiling the AI stops until the next month, while your rules go on answering.

Transcribed minutes and campaign messages do not run over. When the allowance is used, voice notes stay untranscribed and campaigns stop until the next month.

When a plan ends, or a payment fails

If an online charge fails, Stripe tries again for up to about three weeks, and the workspace keeps working in the meantime. If it still fails, the workspace is paused: the bot stops answering, and the dashboard can be read but not changed. Paying brings it straight back.

A workspace whose trial or plan has ended is paused, not deleted. Its conversations, contacts, rules and flows are kept, and choosing a plan again brings everything back with nothing to set up.

To have it deleted, write to us, or, for a workspace that is not the account’s first, the owner deletes it in Settings. The privacy policy says how long that takes and what is kept.

Your content

What is in your workspace — the messages, the contacts, the rules and the files — belongs to you and to your customers. You allow us to store, process and send it only as far as running the service for you requires, as the privacy policy describes. We do not sell it, do not use it for advertising and do not train models on it.

For your customers’ personal details, your business decides what is collected and why, and we handle them on its behalf. It is your business that must be entitled to collect them, and that must tell your customers what the law requires it to tell them.

You are responsible for what the bot says

The bot answers in your business’s name, from rules you wrote — and, where you switched AI replies on, in answers a model composes. Those answers are yours in every sense: to the customer, to a regulator, and to the platform.

So read a rule before you switch it on, and check what the bot says about prices and availability that change. A model can be confidently wrong, and the service does not check whether what you wrote is true.

What is not allowed

  • Messaging people who did not agree to receive your messages, or carrying on after they asked you to stop.
  • Using the service for anything unlawful, deceptive or abusive, or to pass yourself off as somebody else.
  • Trying to get into a workspace that is not yours, to disrupt or overload the service, or to get around its allowances, its pacing or its handling of opt-outs.
  • Reselling access to the service, or sharing one account between several people.

The messaging platforms’ own rules

The service connects to networks that are not ours. Each has terms of its own, and those override what we happen to make technically possible. Keeping to them is your responsibility.

WhatsApp
The number is linked as a device of your own WhatsApp account, through software WhatsApp does not make or support — not the official WhatsApp Business API. WhatsApp’s terms do not allow automated or bulk messaging, and WhatsApp may ban a number for it, temporarily or for good. We cannot prevent a ban or reverse one. You accept this risk when you link a number, and again before your first WhatsApp campaign. The pacing in the service reduces the risk; it does not remove it. WhatsApp also unlinks a device when the phone goes unused for 14 days, or after 30 days of inactivity.
Telegram
An official bot, with a token you create at BotFather. It is the supported way to do this, and carries no comparable risk. Telegram’s terms apply to it.
Facebook and Instagram
Not available yet. When they are, Meta’s terms will apply to them, including its 24-hour window for replying, and no campaigns will be sent on them.
Campaigns
Send them only to people who agreed to hear from you, and only what they agreed to, in line with the law that applies to you — in Israel, that includes the consent rules for advertising messages. A customer who writes a stop word, such as STOP or הסר, comes off the list automatically, and campaigns skip them until they write a word that brings them back. Everything else about who you write to is your decision.

AI and transcription

AI replies are written by Anthropic’s Claude models (or Google’s Gemini models, if your workspace runs on one), on our account and at our cost within your allowance; you do not need a key of your own. They run only on plans that include them, and only once you switch them on.

Voice notes are turned into text by Google’s Gemini models, within your plan’s monthly minutes. Transcription is on by default, and can be switched off in Settings.

DutyDesk Planner

DutyDesk Planner is a desktop application, sold separately from the service, that posts to the Facebook groups your accounts belong to and gathers the comments on those posts. A licence covers two computers, is priced each month by the Facebook accounts you post from, as the Planner page sets out, and is paid for a month in advance, by invoice. It does not renew by itself: to keep posting, renew it before the month ends. A month that has been paid for is not refunded in part, except where the law requires it.

When a licence lapses, Planner stops reaching Facebook. Your posts, lists and settings stay on your computer, and posting carries on when the licence works again. We may refuse to renew a licence, or revoke it, if it is used in breach of these terms.

Planner works your own Facebook accounts, through Google Chrome on your computer. Facebook offers no interface for posting to groups, and its terms do not allow a personal account to be run automatically. Facebook may limit, suspend or close an account that is, and Facebook and group admins may treat the same post in many groups as spam. Planner keeps a slow pace and stops at every identity check, but that lowers the risk rather than removing it. Using Planner on an account is your decision and your risk, and the application asks you to confirm you have read this before you connect one.

You are responsible for what you post and where: for its content, and for the rules of each group. Do not use Planner for spam, misleading offers or anything unlawful.

Planner works with Facebook’s pages as they are today. When Facebook changes them, posting or reading comments can stop working until we have updated Planner. We cannot undertake that it will always work, that Facebook will accept a post, or that a group admin will approve one. We are not liable for a Facebook account that Facebook restricts, suspends or closes, and the limits under “Liability” apply to Planner as they do to the service.

What we cannot promise

The service runs on Google Cloud, in Tel Aviv, and we work to keep it available, but we do not promise that it will never be interrupted. Unless we have agreed otherwise in writing, there is no guaranteed uptime.

The networks the service connects to are not ours. A protocol changes, a rule changes, and a channel can stop working until we have caught up with it. We cannot undertake that any particular channel will always work.

The service changes over time. If a change takes away something your paid plan includes, we will tell you before it applies, and you can cancel.

Suspension and closing

You can stop at any time: cancel the plan, and delete the workspace if you want its data gone.

We may pause or close a workspace for a breach of these terms — messaging people who did not agree to it, unlawful use, use that puts the service or other customers’ numbers at risk, or a bill left unpaid. Where we can, we will tell you first and give you the chance to put it right. Where the harm is immediate, we will pause first, tell you straight after, and say why.

Liability

The service is provided as it is. To the fullest extent the law allows, our liability is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect loss, loss of profit or loss of data — nor for a number that a platform restricts or bans.

Nothing here limits liability that the law does not allow to be limited.

Changes to these terms

A material change will be published here, the date above will change with it, and workspace owners will get an email about it before it applies. Continuing to use the service after that is acceptance of the new text.

Governing law

These terms are governed by the laws of the State of Israel, and the competent courts of Tel Aviv-Yafo have exclusive jurisdiction over any dispute arising under them.
